Terms of Use

1) Who We Are
Revenue Nomad ("Revenue Nomad," "we," "us," or "our") operates an online marketplace that helps businesses discover and engage independent fractional leaders (e.g., Fractional CMO, VP of Sales, RevOps). Our website, content, forms, and related services are the "Services."
2) Acceptance of These Terms
By accessing or using the Services, you agree to these Terms of Use and our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
3) Users and Roles
- Clients: businesses seeking fractional leadership
- Experts: independent professionals offering fractional services.
- Visitors: anyone browsing the site.
4) Nature of the Services (Marketplace Only)
Revenue Nomad facilitates introductions, shortlists, and communications between Clients and Experts. We may help coordinate interviews or basic scoping, but we do not control, direct, or supervise the work performed by Experts. Any engagement terms (scope, hours, rates, deliverables) are agreed between Client and Expert or under a separate written agreement.
5) Accounts; Accuracy of Information
You may be required to submit information via forms or create an account. You agree to provide accurate, current, and complete information and to promptly update it. You are responsible for maintaining the confidentiality of any credentials and for all activities under your account.
6) Fees; Commission; Payments
If applicable, platform, introduction, or commission fees owed to Revenue Nomad will be disclosed in an order form, insertion order, or separate agreement. Clients are responsible for paying Experts for services rendered. Revenue Nomad may invoice Clients (or Experts) for fees and commissions, and you agree to pay all undisputed amounts when due. Late amounts may accrue interest or collection costs as permitted by law.
7) No Circumvention
In consideration of our marketplace and vetting efforts, you agree not to circumvent Revenue Nomad by entering into a direct engagement with any Expert introduced by us for a period of 36 months from the last introduction or communication facilitated by Revenue Nomad, unless otherwise agreed in writing.
8) Independent Contractors; No Guarantees
Experts are independent contractors, not employees, agents, or partners of Revenue Nomad. We do not guarantee specific outcomes, results, timelines, or availability of any particular Expert, and we are not responsible for work performed by Experts.
9) Prohibited and Acceptable Use
You agree not to:
- (a) misuse the Services;
- (b) scrape or harvest data;
- (c) upload malware or attempt to gain unauthorized access;
- (d) infringe intellectual-property or privacy rights;
- (e) post or transmit unlawful, misleading, or harmful content; or
- (f) interfere with the operation or security of the Services.
10) Intellectual Property
The Services (including site content, design, text, graphics, logos, and compilations) are owned by Revenue Nomad or its licensors and protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the site for your internal business evaluation. You may not reproduce, modify, distribute, or create derivative works without written permission.
11) Your Submissions and Feedback
If you submit content (e.g., resumes, job requirements, messages) you grant us a worldwide, non-exclusive, royalty-free license to use, host, reproduce, and display that content to operate and improve the Services and to facilitate matches between Clients and Experts. If you provide feedback or suggestions, we may use them without attribution or compensation.
12) Confidentiality
"Confidential Information" includes non-public information disclosed by either party in connection with the Services (e.g., Client requirements, Expert profiles/CVs, rates, business plans). The receiving party will use Confidential Information only to evaluate or perform an engagement through Revenue Nomad and will protect it with reasonable care. This section does not limit disclosures required by law, provided reasonable notice is given where lawful.
13) Privacy
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and share personal information. By using the Services, you consent to our data practices described there.
14) Third-Party Services and Links
The Services may link to third-party sites or use third-party tools (e.g., scheduling, analytics, chat widgets). We do not control and are not responsible for third-party content, policies, or practices. Use third-party sites at your own risk.
15) Security
We implement reasonable technical and organizational measures to protect the Services, but no method of transmission or storage is 100% secure. You use the Services at your own risk.
16) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
17) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVENUE NOMAD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, GOODWILL, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE FEES (IF ANY) PAID BY YOU TO REVENUE NOMAD FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT.
18) Indemnification
You will defend, indemnify, and hold harmless Revenue Nomad from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms or applicable law; or (c) your engagements or disputes with Experts or Clients.
19) Suspension and Termination
We may suspend or terminate your access to the Services at any time for any reason including violation of these Terms, by giving you an agreed notice. Upon termination, sections that by their nature should survive (e.g., confidentiality, IP, indemnification, limitations of liability) will survive.
20) Changes to the Services or Terms
We may update the Services and these Terms from time to time. The "Effective Date" above indicates the latest version. Your continued use of the Services after changes constitutes acceptance of the updated Terms.
21) Governing Law; Venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, for any dispute not subject to arbitration (if the parties later agree to arbitration in writing).
22) Export and Compliance
You represent that you are not located in, and will not use the Services from, any jurisdiction subject to comprehensive U.S. sanctions, and you will comply with U.S. export controls and sanctions.
23) Miscellaneous
These Terms constitute the entire agreement between you and Revenue Nomad regarding site use (they do not replace any separate signed agreement for a specific engagement). If any provision is held invalid, the remainder will continue in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
